Client Responsibilities

Payments & Fees

Pricing: All service prices will be quoted prior to the commencement of a project. Once agreed upon, these prices are final unless otherwise agreed.

Payment Terms: A deposit of 50% is required for projects to begin, with the remaining balance due upon project completion. Payments are non-refundable unless otherwise stipulated in a specific contract.
Late Fees: Late payments may incur a fee. Work will not continue if payment is delayed beyond agreed terms.
Project Timelines

Project Duration: All timelines provided by LOGICWARE are estimates. While we strive to meet deadlines, delays may occur due to unforeseen circumstances.

Delays: Any delay caused by the client’s failure to provide required information may result in an extended project timeline.
Intellectual Property

Ownership: Upon receipt of final payment, the client will own all deliverables (designs, websites, applications, etc.) created for them.

Company IP: LOGICWARE retains the right to use any intellectual property or methods developed during the project, provided that they do not infringe upon the client’s proprietary materials.
Revisions and Changes

Scope of Work: Revisions are included as per the scope defined in the original contract. Any additional work beyond this will be billed accordingly.

Post-Project Maintenance: Maintenance or updates required after project completion will be charged separately unless a support agreement has been established.
Cancellation Policy

Termination by Client: You may cancel a project at any time, but payment for work completed up to the cancellation point will be required.

Termination by LOGICWARE: LOGICWARE reserves the right to terminate a project for non-payment, breach of contract, or inappropriate behavior.
Limitation of Liability
LOGICWARE will not be held responsible for any indirect, incidental, or consequential damages resulting from the use of our services, including but not limited to loss of revenue, data, or client dissatisfaction.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts in United States.
Changes to Terms
LOGICWARE reserves the right to update or modify these terms at any time. Any changes will be communicated to clients via our website or email.
